  1. This
is a qualitative question requiring you to address the three parts (a, b
and c) outlined below.  You should
answer as a single essay but be sure your essay [answer] addresses the
    concerns of each part.
    1. The role of corporate governance is of utmost
importance and has received increased attention over the past
      decade.

·
Who actually owns a corporation?
In your answer, be sure to explain how the owners play a role in the
firm’s management.

·
What is the agency relationship between the key constituents in a
corporate structure?  In other words, how
are the various players involved in a corporation?

·
Lastly, what are the possible problems that can arise due to the
organization between management, owners, and others involved in the business
conduct of a corporation and how are these problems mitigated?

    1. Now research Netflix’s current Board of
      Directors.  Two good resources for
      this are (1) Netflix’s webpage (https://ir.netflix.com/management.cfm)
and (2) the US SEC’s Edgar webpage
(http://sec.gov/edgar/searchedgar/companysearch.html) and then go to the
actual proxy statement sent to shareholders discussing the potential
Board of Directors (Look for DEF 14A “Other definitive proxy statements “
      filed 2016-04-26).  Discuss the
separation between management and ownership. Your answer should include a
discussion of potential conflicts of interest these Board members have in
      overseeing the current management team.
